These Terms of Service (“Terms”) govern your use of aireadinessnetwork.com (the “Site”) and its directory, assessment, and related features (the “Services”), operated by Calvorth LLC as the AI Readiness Network (“ARN,” “we,” “us,” or “our”). By using the Site, you agree to these Terms. If you don’t agree, please don’t use the Site.

1. What ARN is (and isn’t)

ARN is a curated directory that helps companies discover AI experts and firms by AI-readiness dimension, plus a free self-assessment tool. ARN is an information and discovery service. We are not a party to, and are not responsible for, any agreement, engagement, or transaction between you and any firm or expert you find through the Site.

2. No endorsement; no professional advice

Listings and assessment results are provided for general informational purposes only. A listing does not constitute an endorsement, certification, guarantee, or recommendation by ARN, and does not imply any partnership or affiliation between ARN and the listed firm. “Vetted” refers to ARN’s own editorial curation and does not guarantee the quality, qualifications, licensing, or results of any firm. Nothing on the Site is legal, financial, or professional advice. You are responsible for your own due diligence before engaging any firm.

3. Directory listings, claims & removal

• Some listings are compiled from publicly available business information. We aim for accuracy but do not warrant that any listing is complete, current, or error-free.
• If you represent a listed firm, you may claim your listing to manage it, and may request corrections or removal at any time by emailing info@aireadinessnetwork.com.
• When you submit an application, claim, or listing content, you represent that you have the right to submit it and that it is accurate and not misleading, and you grant ARN a non-exclusive license to display it on the Site.

4. User representations & acceptable use

You represent that you have legal capacity to accept these Terms and will use the Site lawfully. You are responsible for activity under your account and for keeping your credentials secure. You agree not to: post unlawful, infringing, deceptive, defamatory, or abusive content; scrape or use automated data collection without permission; disrupt or attempt unauthorized access to the Site; or impersonate any person or entity.

5. Reviews & user-generated content

If you post reviews or other content, it must be honest, based on genuine experience, and free of unlawful or infringing material. You grant ARN a license to use, display, and reproduce your content in connection with the Services. We may moderate, edit, or remove content that violates these Terms.

6. Third-party firms & links

The Site references independent third-party firms and may link to external sites. ARN does not control and is not responsible for their services, content, or practices. Any dealings you have with a firm are solely between you and that firm.

7. Intellectual property

The Site, its design, and ARN’s original content are owned by Calvorth LLC or its licensors and protected by law. You may not copy, reproduce, or create derivative works except as permitted by these Terms or with our written permission. Third-party names and logos belong to their respective owners.

8. Services management, modifications & interruptions

We reserve the right to monitor the Site for violations, manage or restrict access, and to change, suspend, or discontinue any part of the Services at any time without notice. We are not liable for any unavailability, interruption, or change to the Services.

9. Term & termination

These Terms remain in effect while you use the Site. We may, in our sole discretion and without notice, suspend or terminate your access — including removing content — for any reason, including breach of these Terms. You may stop using the Site at any time.

10. Corrections

The Site may contain typographical errors or inaccuracies. We reserve the right to correct any errors and to update information at any time without prior notice.

11. Disclaimer

The Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. ARN does not warrant that the Site will be uninterrupted, secure, or error-free, or that any firm found through the Site will meet your needs.

12. Limitation of liability

To the fullest extent permitted by law, Calvorth LLC and its owners and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss arising from your use of the Site or your engagement with any firm found through it. Where liability cannot be excluded, our total liability is limited to the greater of the amount you paid us (if any) in the three (3) months before the claim, or US $100.

13. Indemnification

You agree to defend, indemnify, and hold harmless Calvorth LLC and its owners from any claims, damages, and expenses (including reasonable attorneys’ fees) arising out of your use of the Site, your content, or your violation of these Terms.

14. Governing law & dispute resolution

These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law rules.

Informal resolution first. If a dispute arises, you agree to first contact us at info@aireadinessnetwork.com and attempt to resolve it informally for at least thirty (30) days before starting any formal proceeding.

Binding arbitration. If the dispute is not resolved, it will be settled by binding arbitration administered under applicable rules and seated in South Carolina, rather than in court — except that either party may bring an individual claim in small-claims court, or seek injunctive relief for misuse of intellectual property. You and ARN agree that each may bring claims only in an individual capacity, and not as part of a class action. This section does not apply where prohibited by law.

15. Electronic communications

By using the Site, submitting forms, or emailing us, you consent to receive communications from us electronically, and you agree that electronic notices, agreements, and disclosures satisfy any legal requirement that such communications be in writing.

16. Miscellaneous

These Terms are the entire agreement between you and ARN regarding the Site. If any provision is found unenforceable, the remaining provisions stay in effect (severability). Our failure to enforce a provision is not a waiver. You may not assign your rights under these Terms; we may assign ours. These Terms do not create any partnership, employment, or agency relationship.

17. Updates to these Terms

We may update these Terms from time to time. The updated version will be posted here with a new effective date, and your continued use of the Site means you accept the changes.
